Compensation
$235,000 – $390,000+
A nationally recognized AmLaw 100 firm is seeking a Capital Markets & Securities Associate Attorney to join its Boston office.
This opportunity is ideal for an attorney interested in representing public companies, emerging growth companies, investment banks, underwriters, institutional investors, and issuers in sophisticated capital markets transactions and securities law matters.
Ideal Background
• 3+ years of capital markets and securities experience gained at a major law firm
• Experience representing public companies, issuers, investment banks, underwriters, and institutional investors
• Experience handling public and private securities offerings, including offerings of common stock, preferred stock, convertible securities, warrants, and other equity and debt securities
• Experience advising clients on at-the-market (ATM) offerings, reverse mergers, de-SPAC transactions, direct listings, and other pathways to the public markets
• Strong knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, SEC reporting requirements, and stock exchange listing rules
• Experience drafting and negotiating registration statements, offering documents, underwriting agreements, purchase agreements, disclosure documents, and other securities transaction materials
• Experience advising clients on ongoing public company compliance, corporate governance, disclosure obligations, and securities law matters
• Strong drafting, negotiation, analytical, and communication skills
• Ability to independently manage multiple sophisticated transactions in a fast-paced environment
• Excellent academic credentials
• J.D. from an ABA-accredited law school required
• Massachusetts bar admission required or ability to become admitted
