Working Environment: Hybrid (3-day in-office, 2-day remote schedule)
This role is a strategic position in the global legal team where the candidate will serve as a trusted advisor on M&A, investments and corporate matters. This position will also provide an opportunity to work on other matters, including internal corporate, securities laws, global entity management and strategic partnerships. You will play a key role in the global team and collaborate closely with senior leaders and cross-functional stakeholders worldwide.
Responsibilities
- Lead and negotiate global M&A transactions, including investments, acquisitions, divestments, and joint ventures (from deal ideation to integration). Advise on internal corporate matters e.g. reorganizations, tax related assistance
- Work closely with corporate development, our partnerships function and business teams to develop an M&A strategy (‘build, buy, partner’) aligned with FactSet’s strategic objectives
- Partner with finance, corporate development, tax, HR and senior leadership to assess transaction risks, structures and execute deals
- Draft and negotiate complex corporate agreements (under US and other laws) including stock and asset purchase agreements and ancillary documents, investment documents, strategic partnership agreements and other corporate documents e.g. facility, treasury documents.
- Standardize our internal documentation and playbooks to help drive efficiency and scale on future transactions
- Assist on US securities laws matters, including governance and disclosure (including Annual Report, 10-K, 10-Q, Proxy); compensation and benefits matters.
- Help manage our internal global subsidiary management program.
- Develop relationships with bankers and law firms and other advisers
- Provide thoughtful, timely, effective and pragmatic counsel and advice to leaders within the organization on complex legal matters
- Develop and manage outside counsel relationships and budgets related to corporate and transactional work
Qualifications:
- JD from an accredited law school
- 4 + years of experience as a licensed, practicing attorney at organizations similar to FactSet; both law firm and in-house roles preferred
- If no in-house experience, significant experience advising clients or organizations comparable to FactSet required
- Demonstrated expertise managing complex corporate and M&A transactions; securities law experience a plus
- Admitted to practice and in good standing in New York, Connecticut, or another relevant US jurisdiction
- Strong commercial acumen, strategic mindset, and ability to excel in fast-paced, global environments
- Exceptional negotiation, leadership, teamwork, and written/verbal communication skills
- Proven success partnering with senior stakeholders to drive corporate objectives
- Ability to work a hybrid schedule (3-day in-office and 2-day remote) from an office in NYC or Norwalk CT
The budgeted base salary range for this position in NYC and the state of Connecticut is $160,000 - $200,000.
