About the Role
Title: Director, Executive & Equity Compensation
Location: MA-Boston
The Director, Executive & Equity role responsible for the design and execution of executive rewards programs and policies to attract, retain, and engage our leadership talent. They will be responsible for leading analysis and material development relating to the Compensation Committee, Proxy and other related governance topics. Also responsible for the execution and administration of the company's global equity equity compensation programs and will also oversee an analyst who supports stock administration.
ESSENTIAL DUTIES/RESPONSIBILITIES:

Keeps up to date with executive compensation trends and provides recommendations to compensation structure, base pay, cash incentives, annual and long-term cash incentive plan design, and equity award guidelines.

Prepare proxy related materials including draft tables and CD&A for the Proxy Statement.

Lead benchmarking and advanced analytics relating to Executive Short Term and Long-Term incentive plans.

Lead the development and socialization of compensation committee materials.

Support the design of the equity compensation plan and manage the annual equity budget.

Review plan documents, considering regulatory/legislative changes and work with internal counsel, finance and tax on plan interpretations and recommend changes, if warranted.

Manage preparation and filing of regulatory matters.

Manage the administration of stock compensation, including the tracking of awards, vesting schedules, and payouts.

Ensure the accuracy of stock compensation data and timely reporting for financial, tax, and regulatory purposes.

Monitor equity plan utilization, share pool management, and dilution to ensure alignment with shareholder interests.

Partner on required filings, such as Form 4s.
This position is able to sit remotely. Candidates who live within a 45 mile radius of Boston, MA/Detroit, MI/Denver, CO/Mountain View, CA will be required to work hybrid (2 days per week) out of the office.
What will help you succeed
Minimum Requirements:

7+ years of direct compensation and/or related experience
-
4+ years of prior experience with equity plan administration and supporting Executive Compensation Programs including supporting Compensation Committee materials and proxy required

BA/BS degree in Human Resources, Business, Finance, Accounting, or a related field

Compensation and Rewards
DOE, salary $190K - $230K, plus Health, Dental, Life, STD, LTD, 401K, PTO. Total compensation may vary depending on candidate experience/education and location.
