Legal Counsel, Commercial

Location: Boston

As a Legal Counsel, Commercial (Americas) you will work together with more senior lawyers and support our global Sales teams (with focus on the Americas region) and to our global procurement. Together with Sales and Deal Desk (among other teams), you will help to drive our sales efforts by supporting the arrangement and negotiation of commercial transactions. This includes drafting, reviewing and negotiating NDAs and software license agreements with enterprise customers. You will also support our procurement operations by reviewing and negotiating supplier agreements.

What You Will Do

  • Provide legal support to sales transactions globally with focus on the Americas region
  • Advise sales executives with subject matter expertise on commercial deal structures and licensing terms in line with our go-to-market strategy
  • Assess, manage, monitor and communicate legal risks
  • Structure, draft, review and negotiate software license agreements (including third party contract documents)
  • Coordinate and collaborate with various other teams such as Product, Engineering, Sales, Sales Operations and Finance to collect input, ensuring our agreements appropriately reflect business needs
  • Efficiently communicate transaction status and trade-offs to obtain management approvals where necessary
  • Support the Sales team in answering RFPs and vendor questionnaires
  • Support the team in continuous improvement of Scandit’s standard agreements, processes, and transaction-related policies
  • Work closely with more senior lawyers and gradually take over more responsibility as you learn to know the business

What You Will Bring

  • Experience in software, IP licensing and commercial contracts, preferably with an understanding of the SaaS (subscription) business model
  • Experience in drafting, reviewing and negotiating commercial contracts internationally
  • Familiarity with alliance, reseller and other types of channel agreements would be an asset
  • Knowledge of or genuine interest in data privacy matters would be beneficial
  • Ability to effectively communicate and translate legal matters and risks into actionable guidance in plain English
  • Pragmatic approach to legal and business problems
  • Ability to effectively manage own priorities and tasks in a fast-paced environment
  • Confidence and calmness under pressure
  • Highly proficient language skills in spoken and written English. Other language skills (such as Spanish, Portuguese) would be beneficial
  • Any levels of experience will be considered for the right candidate, but we would expect the skills and abilities equivalent to a lawyer with approximately 3 years PQE as a commercial legal counsel
